End-User License Agreement
Effective June 23, 2026
This End-User License Agreement (“Agreement”) is a contract between you and coordinate.studio (“we,” “us”) governing your access to and use of the Nate Settings Platform and the Nate AI admin agent (together, the “Service”). By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree, do not use the Service.
1. License grant
Subject to this Agreement, we grant your organization a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations during your subscription term. The Service is licensed, not sold.
2. Accounts and eligibility
Accounts are provisioned by coordinate.studio; the Service is not open to self-registration. You are responsible for maintaining the confidentiality of your sign-in credentials and for all activity under your account. You must be at least 18 and authorized to act on behalf of your organization.
3. Acceptable use
You agree not to: (a) reverse engineer, decompile, or attempt to extract the source code of the Service; (b) resell, sublicense, or provide the Service to third parties except as expressly permitted; (c) use the Service to violate any law or third-party right; (d) interfere with or disrupt the integrity or performance of the Service; or (e) access the Service to build a competing product.
4. Customer data and configuration
You retain all rights to the data and configuration you provide to the Service (“Customer Data”). You grant us the rights necessary to host, process, and transmit Customer Data to provide the Service. You are responsible for the accuracy of Customer Data and for having the rights to share it with us, including any data accessed through connected third-party services.
5. Third-party services
The Service can connect to third-party services you authorize (such as Google Calendar, QuickBooks, DocuSign, and CRMs). Your use of those services is governed by their own terms, and we are not responsible for third-party services. You may disconnect them at any time from the Integrations screen.
6. AI-generated output
Nate uses AI to draft messages, summaries, and other output. AI output may be inaccurate or incomplete and is provided to assist, not replace, your judgment. You are responsible for reviewing output before relying on or sending it, particularly for insurance, contractual, or financial matters.
7. Fees
Fees, if any, are set out in your separate order or agreement with coordinate.studio. Unless stated otherwise, fees are non-refundable.
8. Intellectual property
The Service, including all software, models, and content we provide (excluding Customer Data), is owned by coordinate.studio and its licensors and is protected by intellectual property laws. No rights are granted except as expressly stated in this Agreement.
9. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
10. Limitation of liability
To the maximum extent permitted by law, coordinate.studio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to the Service. Our total liability for any claim will not exceed the amounts you paid us for the Service in the twelve months before the claim.
11. Termination
We may suspend or terminate your access if you breach this Agreement or to comply with law. You may stop using the Service at any time. On termination, your license ends; sections that by their nature should survive (including ownership, disclaimers, and limitation of liability) will survive.
12. Changes
We may update this Agreement from time to time. Material changes will be reflected by updating the effective date above; continued use after a change constitutes acceptance.
13. Governing law
This Agreement is governed by the laws of the State of Kansas, USA, without regard to its conflict-of-laws rules.
